1. Agreement to Terms

Welcome to Bracket Frogs. These Terms of Service (“Terms”) govern your access to and use of the Bracket Frogs website, applications, and tournament management services (collectively, the “Service”), operated by Bracket Frogs LLC (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Bracket Frogs provides tournament management software that enables users to create and manage private competitive bracket pools. The Service allows users to create tournaments, invite participants, conduct snake drafts of real sports teams, track bracket results with spread-based ownership mechanics, and manage tournament standings.

Bracket Frogs is software only. Bracket Frogs is not a sportsbook, gambling operator, daily fantasy sports (DFS) operator, payment processor, or wagering platform of any kind.

3. What We Do Not Do

Bracket Frogs does not:

  • Operate a sportsbook or offer wagering services
  • Collect, process, hold, or distribute entry fees or prize funds
  • Process payments between participants
  • Take a rake, percentage, or commission from user activity
  • Distribute winnings or provide escrow services
  • Guarantee or facilitate financial transactions between participants
  • Endorse, promote, or facilitate gambling

All financial arrangements between tournament participants are conducted independently and are not facilitated, processed, supervised, or guaranteed by Bracket Frogs. We have no involvement in, knowledge of, or responsibility for any financial transactions between users. Bracket Frogs is not a party to any such arrangements. 4. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service. By using Bracket Frogs, you represent and warrant that you meet these requirements and that your use of the Service complies with all applicable laws.

5. User Responsibility for Legal Compliance

You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction and for ensuring that your participation in any tournament — including any financial arrangements between participants — complies with all applicable federal, state, local, and international laws.

Bracket Frogs makes no representation that the Service is appropriate or available for use in all locations. If you choose to arrange financial contributions or prize distributions outside the platform, those arrangements are entirely independent of Bracket Frogs. We reserve the right to restrict access to the Service from any jurisdiction at our sole discretion.

6. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update it as necessary.

Bracket Frogs reserves the right to suspend or terminate accounts for violations of these Terms.

7. Commissioner Responsibilities

Tournament commissioners (organizers) are responsible for managing their tournaments, including inviting participants, configuring settings, and overseeing the draft process. Commissioners pay a one-time software access fee to create a tournament. This fee is for access to the Bracket Frogs software platform only.

Any fees, prizes, or financial arrangements a commissioner establishes with participants are solely between those parties and are not facilitated, processed, or guaranteed by Bracket Frogs.

8. Tournament Mechanics

Bracket Frogs provides software tools for drafting teams, tracking results, applying margin-based ownership transfers, and managing tournament standings. While we strive for accuracy, Bracket Frogs does not guarantee:

  • Data accuracy of scores, spreads, or game results
  • Availability of real-time updates
  • Continuous uninterrupted service

Tournament outcomes are based on third-party sports data sources, which may contain errors or delays. Bracket Frogs is not responsible for data inaccuracies or technical disruptions.

9. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or in violation of gambling laws
  • Violate any applicable local, state, national, or international law or regulation
  • Impersonate any person or entity, or falsely represent your affiliation
  • Interfere with or disrupt the Service, servers, or system integrity or security
  • Attempt to gain unauthorized access to any part of the Service
  • Attempt to reverse engineer, scrape, or automate participation using bots
  • Harass, abuse, or harm other users

Bracket Frogs reserves the right to remove users or terminate tournaments that violate these rules. See our Acceptable Use Policy for the full policy.

10. Payments and Refunds

Tournament creation fees are processed by Stripe and are non-refundable once a tournament has been created and players have been invited. If you experience a technical issue that prevents you from using the Service, contact us at support@bracketfrogs.com and we will work with you to resolve the issue, which may include issuing a credit for future use.

Bracket Frogs does not process payments between participants. Any financial arrangements made between users are handled entirely outside the platform.

11. Communications

If you provide a phone number and opt in to SMS notifications in your account settings, we may send you text messages related to tournament activity, including draft reminders (e.g., it is your turn to pick, the draft is starting soon), game results, and ownership transfer alerts.

Message frequency varies based on tournament activity. Message and data rates may apply. You can opt out at any time by disabling SMS notifications in your account settings.

By opting in, you consent to receive automated text messages at the phone number you provide. Consent is not a condition of using the Service. You may still use Bracket Frogs without providing a phone number or enabling SMS notifications.

12. Intellectual Property

All content, branding, logos, graphics, and software associated with the Service are the property of Bracket Frogs LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

User-generated content remains owned by the user, but you grant Bracket Frogs a limited license to display and operate such content within the Service.

Bracket Frogs is not affiliated with, endorsed by, or sponsored by the NCAA, any university, or any sports organization. See our DMCA / Copyright Policy for information about reporting copyright infringement.

13. Third-Party Services

The Service relies on third-party providers for sports data, hosting, analytics, payment processing, and email delivery. Bracket Frogs is not responsible for disruptions or inaccuracies caused by third-party services.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy of scores, spreads, or game data provided through the Service.

15. Limitation of Liability

To the maximum extent permitted by law, Bracket Frogs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Loss of profits, data, or goodwill
  • Disputes between participants
  • Financial losses arising from private arrangements between users
  • Data inaccuracies or service interruptions

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless Bracket Frogs LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Financial arrangements you enter into with other users outside the platform
  • Your violation of applicable laws

17. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in the State of Oregon.

18. Dispute Resolution

You agree that any dispute related to these Terms or the Service will be resolved individually and not as part of a class action. Bracket Frogs may elect to require binding arbitration in accordance with applicable arbitration rules.

19. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, if you violate these Terms, your use presents legal risk, as required by law, or if we discontinue the Service. Upon termination, your right to use the Service will immediately cease.

You may discontinue your use of the Service at any time.

20. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
